This End User License Agreement (EULA) is an agreement between You and Felix Dorner.
By purchasing or downloading Bica, you are agreeing to be bound by this license agreement. Learn what you can and can't do with the files you'll get after the purchase.
In short
You are allowed to use Bica in unlimited projects for yourself and for your clients. This includes commercial projects (such as websites, products, and apps), client work, and personal projects. By purchasing or downloading Bica, you are agreeing to the below licensing agreement.
You are not allowed to:
Sell, sublicense, distribute, or otherwise grant rights to the files or assets within the files (in original or modified form).
Use any of the files or assets within the files in a UI kit, library, template, or framework (including for other software and frameworks).
Distribute or publish the files or assets within the files online.
Basically, just use them in good faith and don't copy or use them in a competing template or product.
A "user" is defined as anyone using the Bica files, either as a direct editor or as user of a library of published components. You may share access to the files or a published library with your team members or other users only if you've bought a license for each user.

Licensing agreement
By purchasing or downloading Bica ("Item") you are being granted a license to use this file for specific uses under certain conditions.
This license grants the user an ongoing, non-exclusive, worldwide license to utilise the digital work ("Item").
You are licensed to use purchased Item to create unlimited End Products for yourself or for your clients.
An end product is one of the following
The End Product is a customised implementation of the Item. For example, the Item is package of UI elements and the End Product is your unique finished website or app design.
You are allowed to:
You may create an End Product for a client.
You may create an End Product for personal or commercial use.
You may combine the Item with other works and make a derivative work from it. The resulting works are subject to the terms of this license.
This is a 'multi-use' license, which means you may use an Item multiple times, in multiple projects.
You may publish the item in your team library or share the files within your organisation for participants only if you've bought a license for each user.
Examples of usage allowed by the license:
Creating websites for yourself or a client.
Creating web applications or apps for yourself or a client.
Creating commercial SaaS applications or websites for end users who pay to use as a subscription.
Creating commercial SaaS applications or websites for end users who pay a one-time fee to use.
Using Bica as a starting point for an internal design system to build upon.
You are not allowed to:
You can't share the item link into the web or distribute (e.g. embed) with Figma public access.
You can't place any of Item design files into the End Product as it is.
You can't redistribute the Item as stock, in a tool or template, or with source files. This includes using the Item to create a template or library for another platform or software (e.g. Shopify, Adobe XD, Webflow, HTML, CSS, React, Wordpress, Tailwind and similar platforms). You can't do this with an Item either on its own or bundled with other items, and even if you modify the Item.
You can't re-distribute or make available the Item as-is or with superficial modifications.
You must not permit an end user of the End Product to extract the Item and use it separately from the End Product.
You can't publish the item in your team library or give edit permissions to other people if you bought the individual license. Please purchase a team license if there is more than one person using the file.
Examples of usage not allowed by the license:
Sharing or publishing files or assets within the files online or making them available publicly.
Sharing files or assets with other users that have not purchased a license.
Creating a Sketch or Adobe XD version of Bica and making it available for free or for sale.
Creating a React, Vue, HTML, Bootstrap, or Tailwind version of Untitled UI and making it available for free or for sale.
Creating a UI kit, theme, template, design system, or starter kit using components, designs, assets, or templates from Untitled UI (even if modified) and making it available for free or for sale.
Creating a "app builder" or "website builder" that uses components, designs, assets, or templates from Untitled UI (even if modified).
In short, use Bica for anything as long as it's not for a competing template or product that is available for free or for sale.
Enforcement
The copyright of Bica is owned by Felix Dorner. You are granted only the permissions described in this license; all other rights are reserved.
Felix Dorner reserves the right to pursue legal remedies for any unauthorized use of Bica outside the scope of this license, especially in the case where assets are used to create a competing product (e.g. library, UI kit, or templates) or distributed online.
By purchasing or downloading Bica ("Item"), you agree to be financially liable for $10,000 for each individual offence of this license agreement. In the case that your watermarked copy of Bica are shared publicly online or on a piracy forum, you agree to be held financially liable for each individual download as a separate offence.
Limitation of liability
Felix Dorner's liability to you for costs, damages, or other losses arising from your use of the Bica — including third-party claims against you — is limited to a refund of your purchase.
Felix Dorner may not be held liable for any consequential damages related to your use of Bica.
Returns and Refunds Policy
Since our product is digital, we do not offer refunds. We reserve the right not to refund any purchase based on buyer's remorse or unmet expectations.
However, we will happily refund any accidental duplicate purchases.
Dispute resolution
The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Germany without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Germany. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Germany, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
Changes and amendments
We reserve the right to modify this Agreement or its terms related to the Website and Services at any time at our discretion. When we do, we will revise the updated date at the bottom of this page. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided.
An updated version of this Agreement will be effective immediately upon the posting of the revised Agreement unless otherwise specified. Your continued use of the Website and Services after the effective date of the revised Agreement (or such other act specified at that time) will constitute your consent to those changes.
Accepting of these terms
You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website, Products and Services.
Severability clause
All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.
